Corporate Paralegal

It helps the practice manage transaction documentation, compliance work, and client deliverables.

What you'll do

• Prepare and file SEC Section 16 Forms 3, 4, and 5
• manage cap tables using Carta or similar platforms
• assist with startup formations, governance, and financing documents
• draft board and stockholder consents and stock option grants
• maintain minute books, stock ledgers, and corporate records
• support M&A, capital markets, and venture capital transactions
• coordinate documentation and deliverables with clients and third parties.
