Direct Counsel is recruiting for a premier technology transactions practice handling sophisticated intellectual property, technology, and commercial transactions. The attorney advises clients on technology and intellectual property aspects of strategic transactions, supports mergers and acquisitions, investments, financings, and alliances, and drafts and negotiates technology agreements and licenses. The role also conducts technology and IP due diligence and collaborates with corporate, private equity, finance, and litigation teams.

What you'll do

• Advise clients on technology, intellectual property, and commercial aspects of strategic transactions
• support M&A, private equity investments, financings, joint ventures, restructurings, and strategic alliances
• draft, review, and negotiate software, SaaS, technology license, outsourcing, and commercial agreements
• structure and negotiate IP licenses involving patents, trademarks, copyrights, trade secrets, data, and databases
• assist with R&D and collaboration agreements and technology commercialization
• conduct technology and IP due diligence
• collaborate with corporate, private equity, finance, and litigation teams.
