Legal Counsel, Finance and Corporate Development is an onsite role in Dallas, TX, with compensation of $220,000–$260,000 per year plus bonus. Crusoe’s mission is to accelerate the abundance of energy and intelligence through AI infrastructure. The role advises on corporate finance and strategic transactions, leading financing deals from term sheet through closing while supporting due diligence, covenant compliance, entity operations, and cross-functional coordination. It helps the Finance and Corporate Development teams execute complex transactions and manage legal and business risks.

What you'll do

• Execute corporate financing and capital markets transactions from term sheet through closing
• advise Finance stakeholders on contract terms and risks
• draft, review, structure, and negotiate financing agreements
• support due diligence and closing logistics
• assist with covenant compliance, entity formations, and intercompany transactions
• maintain deal files and templates
• coordinate with internal teams and outside counsel.
