The Director, Legal Counsel, Corporate & Securities role is onsite in Denver, CO. Compensation is $220,000–$260,000 per year plus bonus. Crusoe’s mission is to accelerate the abundance of energy and intelligence through AI infrastructure. Reporting to the VP and Assistant General Counsel, Securities, the director leads corporate governance and securities compliance work and provides cross-coverage for capital markets matters. The role builds legal processes and reporting infrastructure that support the company’s growth and increasing complexity.

What you'll do

• Prepare board and committee materials
• manage stockholder consents and notices
• support annual stockholder meetings
• advise on governing and investor documents
• develop corporate policies and controls
• lead securities disclosures and reporting
• maintain disclosure controls and insider-trading compliance processes
• monitor securities-law developments
• provide backup support for capital markets transactions
• advise Finance, Accounting, Investor Relations, and HR.
