Direct Counsel is recruiting for a prestigious Am Law firm’s Corporate practice, which represents companies, private equity sponsors, family offices, and individuals in domestic and cross-border transactions. The attorney will advise clients and manage sophisticated corporate transactions from initial negotiations through closing. The role includes due diligence, transaction structuring, drafting and negotiating documents, and advising on governance, fiduciary duties, securities matters, and transactional risk.

What you'll do

• Represent buyers, sellers, investors, and other stakeholders in mergers, acquisitions, dispositions, and investments
• conduct due diligence
• assist with transaction structuring and execution
• draft and negotiate purchase agreements and related documents
• coordinate deal management through closing
• advise on corporate governance, fiduciary duties, and transactional risk
• assist with securities and regulatory issues
• work with clients and senior attorneys.
