The Director, Corporate Attorney role is onsite in Cambridge, MA. The stated base salary range is $250,000–$285,000 per year, with an annual target bonus and possible additional incentive compensation. Parabilis Medicines is a clinical-stage biopharmaceutical company developing medicines for serious diseases. The role exists to lead corporate and public-company legal matters and provide practical legal support across transactions, commercial agreements, compliance, and business operations. By partnering with cross-functional teams, the attorney helps manage legal risk and enable the company’s growth and drug-development programs.

What you'll do

• Support corporate governance, board and committee materials, entity management, annual meetings, and proxy statements.
• Support SEC reporting and advise on securities laws, Nasdaq requirements, Regulation FD, insider trading, and equity compensation.
• Draft, review, negotiate, and manage commercial, clinical, manufacturing, supply, software, collaboration, and licensing agreements.
• Support securities offerings, strategic transactions, due diligence, and outside counsel relationships.
• Advise on healthcare compliance, privacy, and anti-corruption matters.
• Develop contract templates and legal playbooks, deliver employee legal training, and monitor relevant legal developments.

Why this role
