What you'll do

• Represent public and private companies, issuers, underwriters, investment banks, and financial institutions
• handle public and private equity and debt offerings, including IPOs and follow-on offerings
• advise on SEC reporting, Exchange Act compliance, securities law, and corporate governance
• draft and negotiate registration statements, offering memoranda, underwriting agreements, purchase agreements, and related documents
• manage transactions and work directly with clients and deal teams.
