Compensation varies by location: $235,000–$265,000 in Boston; $240,000–$270,000 in Washington, DC and New York; and $215,000–$245,000 in New Jersey. Direct Counsel represents a leading law firm seeking an associate for its Corporate/M&A practice. The associate handles mid-market mergers and acquisitions, venture capital matters, and other corporate transactions, supporting clients through diligence and closing. The role combines drafting and negotiation with direct client and partner work and increasing responsibility for routine matters.

What you'll do

• Handle mid-market M&A transactions
• draft and negotiate stock and asset purchase agreements and related documents
• advise on venture capital transactions and deal structures
• manage due diligence and support transactions through closing
• advise private companies, investors, and portfolio companies on corporate matters
• handle entity formation, governance, commercial agreements, and corporate transactions
• work directly with clients and partners.
