The role supports public companies and issuers through registered equity offerings and ongoing securities matters. It contributes by advising clients across transaction structuring, preparation, execution, and closing while coordinating with deal teams and managing substantial transaction work.

What you'll do

• Represent public companies and issuers in registered equity offerings, including initial public offerings and follow-on offerings. Advise clients through transaction structuring, preparation, execution, and closing. Prepare, review, and negotiate registration statements, offering documents, and securities filings. Advise on public company matters and ongoing securities requirements. Coordinate with underwriters, investment banks, accountants, and other transaction professionals
• handle offering matters involving comfort letters and legal opinions. Conduct securities-law research, manage multiple transactions and deadlines, and collaborate with partners and deal teams while independently managing substantial transaction components.
