What you'll do

• Draft, review, and negotiate merger, purchase, partnership, joint venture, and LLC operating agreements
• manage M&A transactions from diligence through closing
• conduct and oversee legal due diligence
• advise clients on corporate governance and general business matters
• coordinate transaction workstreams and closings
• assist with representation and warranty insurance underwriting
• work with clients, opposing counsel, and deal teams.
