What you'll do

• Advise public company clients on Exchange Act compliance, periodic reporting, proxy statements, Section 16 filings, and insider trading policies
• handle registered Securities Act offerings
• counsel boards and management on corporate governance, fiduciary duties, and NYSE/Nasdaq listing compliance
• work with the M&A group on proxy statements, S-4 registration statements, and due diligence
• advise on private placements and exempt offerings
• support Reg FD, Sarbanes-Oxley, and Section 13 compliance
• collaborate with executive compensation and ERISA groups on equity plans and proxy disclosure.
