Direct Counsel is recruiting for a corporate M&A and private equity practice serving corporate clients and private equity sponsors. The attorney advises clients on transactions from initial structuring through closing, managing deal documents, due diligence, and execution. The role also contributes to client relationships and business development while collaborating with attorneys across related practice areas.

What you'll do

• Advise corporate clients and private equity funds on transactional matters
• structure, negotiate, and manage mergers and acquisitions, private equity and minority investments, strategic transactions, reorganizations, and general corporate matters
• draft and negotiate acquisition agreements and related documents
• conduct due diligence and coordinate execution
• manage deals through closing
• work with executives, investors, boards, and sponsors
• collaborate across finance, tax, employment, intellectual property, and regulatory practices
• participate in business development and client relationship initiatives.
