Venture Attorney

This is a junior attorney position at a boutique Texas law firm with a practice spanning startups, venture capital, corporate litigation, bankruptcy, and employment. The role exists to support founders, emerging companies, and venture investors on financings and related corporate matters. It contributes through transaction support, independent drafting and research, due diligence, client relationship building, and assistance to senior attorneys as the team grows.

What you'll do

• Support SAFE, convertible note, and equity financings from seed through Series A and beyond
• draft and review company-side and investor-side documents, including formation, governance, and organizational documents
• conduct due diligence and transaction risk analysis
• build and maintain client relationships with founders and investors
• draft pro forma cap tables and financing models
• support senior attorneys on client matters and overflow work
• conduct research and drafting independently and escalate to partners when appropriate.
