Job overview
The Corporate Paralegal — Capital Markets & Public Companies role is hybrid, with three days onsite per week at a designated U.S. office; additional onsite days may be required based on business and client needs. The schedule is Monday–Friday, 9 a.m.–5:30 p.m., for 37.5 hours per week. The anticipated salary range is $85,000–$133,750 per year. The position supports capital markets and public company matters. The role exists to provide transactional and corporate support for matters involving public companies and capital markets. By preparing filings and supporting materials, coordinating agents and closing documents, and tracking compliance-related work, the paralegal helps the team manage complex, deadline-driven matters.
What you'll do
- Support capital markets and public company matters, including IPOs and public company operations
- prepare registration statement numerical backup spreadsheets
- manage beneficial ownership tables
- support compliance with the ’34 Act and Section 16 reporting
- handle Rule 144 and legend removal letters
- onboard transfer agents
- prepare stock exchange applications
- submit FINRA filings
- manage selling stockholder matters
- and coordinate closing documents, closing volumes, board resolutions, and minutes.
