The associate advises clients on securities compliance, governance, disclosure, and capital markets transactions. The work contributes to clients’ public-company obligations and financing activity through transaction support, regulatory filings, and collaboration with management, boards, underwriters, and in-house legal teams.

What you'll do

• Advise public companies on SEC reporting and compliance
• counsel on corporate governance, disclosure, and stock exchange compliance
• represent issuers and investment banks in capital markets transactions
• assist with IPOs, SPAC transactions, direct listings, follow-on offerings, and other securities offerings
• draft and review registration statements, periodic reports, proxy statements, and other securities filings
• support investor relations and disclosure matters
• collaborate with management teams, boards, underwriters, and in-house legal teams.
