The work includes middle-market mergers and acquisitions, venture financings, governance, and general corporate counseling.

What you'll do

• Advise private companies, private equity sponsors, investors, and strategic buyers and sellers on middle-market M&A and other strategic transactions
• advise emerging companies and founders on formation, governance, and corporate matters
• advise on venture financings
• assist with transaction structuring, due diligence, negotiation, and closing
• draft and negotiate transaction and governance documents
• coordinate diligence and workstreams
• manage deal timelines and deliverables with clients
• collaborate with related practice areas.
