The Corporate Paralegal role is hybrid in San Francisco, CA, with the ability to work in a normal office environment as needed. Compensation is $46–$69 per hour. The paralegal supports the corporate group by maintaining entity and equity records, preparing securities filings, and coordinating transaction execution. Accurate records, filings, signature collection, and closing materials help attorneys focus on substantive client work.

What you'll do

• Prepare stock certificates and maintain stock and option ledgers and client cap tables
• prepare and file annual reports and state documents
• prepare routine consents, resolutions, and entity formation documents
• prepare and submit state securities filings, Form D, Form ID applications, and related filings
• manage EDGAR access credentials
• track signatures and manage DocuSign envelopes
• finalize documents and collate signature pages
• assemble closing sets and order lien searches
• prepare redlines and document comparisons
• convert documents to PDF
• populate and maintain virtual data rooms.

Why this role

Requires a paralegal certificate from an ABA-approved or comparable program and five or more years of corporate paralegal experience in a law firm setting; candidates with three to four years may be considered with substantive securities filing and cap-table experience.
