What you'll do

• Assist private equity fund sponsors with fund formation, including drafting and negotiating private placement memoranda, limited partnership agreements, side letters, and ancillary agreements
• review fund documentation for institutional investors and negotiate fund terms
• structure and draft governing documents for fund management companies and general partners
• advise on regulatory matters applicable to private investment funds.
