Commercial Counsel

The Commercial Counsel role is remote-first, with the candidate based in the United States; Eastern or Central time zones are preferred. Compensation is $140,000–$170,000 per year, plus equity. The counsel owns commercial contracting across sales, renewals, partnerships, and vendors while improving contracting processes for a growing multi-product business. The role also advises on privacy, intellectual property, governance, and compliance, helping teams close deals while managing legal and business risks.

What you'll do

• Negotiate sales agreements for new customers and renewals
• draft, review, and negotiate NDAs, vendor, reseller, partnership, independent contractor, customer, SLA, EULA, and subscription agreements
• standardize contracting processes
• advise on GDPR, CCPA, software licensing, copyright, and trademark matters
• assist with governance, compliance, policies, and procedures
• coordinate external counsel on disputes
• supervise the part-time APAC legal resource and interact with the contracts manager.
