What you'll do

• Review material contracts and identify relevant change-of-control, assignment, exclusivity, and termination clauses
• assess litigation, warranty claims, and regulatory actions
• review governance, ownership, board records, and permits
• evaluate employment agreements and benefit obligations
• check intellectual property ownership and trade compliance
• work with outside counsel on representations, warranties, indemnities, and closing conditions
• after close, lead contract novation, entity cleanup, and compliance setup.
