What you'll do

• Draft and negotiate private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, and regulatory filings
• support fund raises from launch to close
• manage client and investor interactions, side-letter negotiations, subscription documentation and closing mechanics
• apply knowledge of the Investment Advisers Act, federal securities laws, Regulation D, and Investment Company Act exemptions.
