The role supports a boutique law firm advising high-growth technology and life sciences companies and venture capital investors. The associate handles corporate transactions and advises emerging companies and investors on financings, deals, and related legal matters. Working directly with partners, the role contributes to sophisticated transactions in the Raleigh innovation ecosystem.

What you'll do

• Draft, negotiate, and manage venture capital financings, including SAFEs and preferred stock issuances
• work with partners on M&A transactions and corporate deals
• advise clients as outside general counsel
• review contracts and draft consents
• manage capitalization tables and prepare waterfalls and pro formas
• conduct transactional due diligence.
