What you'll do

• Advise nonprofit and tax-exempt organizations on federal tax-exemption requirements, compliance, governance, board practices, conflicts, executive compensation, and policies
• assist with obtaining and maintaining tax-exempt status
• advise on private foundation rules, UBIT, excess benefit transactions, and Form 990 reporting
• structure nonprofit/for-profit relationships
• support mergers, reorganizations, and dissolutions
• conduct legal research and prepare memoranda, opinions, and client communications.
