The Capital Markets Associate Attorney role is onsite in Chicago, IL, with a base salary of $310,000–$390,000 per year. Direct Counsel is recruiting for a corporate practice representing issuers, private equity sponsors, portfolio companies, and underwriters in capital markets transactions. The attorney advises clients on securities offerings and capital-raising transactions, drafts and negotiates transaction documents, supports securities compliance, and coordinates due diligence and deal execution with clients and multidisciplinary teams.

What you'll do

• Advise clients on securities offerings and capital markets transactions
• draft and negotiate offering documents, registration statements, disclosure documents, and transaction agreements
• support debt and equity offerings, including IPOs and follow-on offerings
• assist with securities compliance and corporate governance
• conduct due diligence and coordinate transaction execution.
