The Executive Director, Corporate Securities Counsel role is hybrid, with onsite work at least two days per week in Seattle, WA. Compensation is $297,500–$367,500 per year. Umoja Biopharma is developing an integrated immunotherapy platform focused on cancer treatment. Reporting to the Chief Legal Officer, the counsel leads securities-law and public-company readiness workstreams, including IPO preparation, SEC reporting, disclosure controls, and governance. The role helps the company meet legal, fiduciary, disclosure, and compliance obligations as it prepares for potential public-company status and thereafter.

What you'll do

• Lead legal workstreams for IPO readiness and execution under the Chief Legal Officer’s direction
• coordinate registration statements and transaction documents
• develop governance and compliance frameworks
• establish disclosure controls
• oversee SEC filings and securities compliance
• monitor regulatory developments
• coordinate disclosures with internal teams and external advisors
• lead disclosure committee processes
• review public communications
• advise on governance, fiduciary duties, Nasdaq requirements, shareholder meetings, and insider-trading compliance.

Why this role

Requires a Juris Doctor, active U.S. state bar membership, 10+ years of corporate and securities law experience, and direct experience leading or substantially supporting one or more IPOs. Occasional travel may be needed.
