The role supports fundraising and fund operations by drafting and negotiating documents, managing investor discussions, coordinating closings, and advising on regulatory and market matters.

What you'll do

• Advise private equity sponsors on formation, structuring, and operation of private investment funds
• draft and negotiate limited partnership agreements, subscription documents, side letters, governance documents, and related formation materials
• manage investor negotiations and requests
• counsel sponsors on regulatory and compliance matters
• advise on ongoing operations and governance
• coordinate fund closings and fundraising
• collaborate across tax, regulatory, corporate, and investment management practices
• provide strategic advice on market terms and industry developments.
