What you'll do

• Draft, review, and negotiate merger, stock purchase, asset purchase, and related transaction documents
• manage M&A transactions from diligence through closing
• conduct and oversee legal due diligence
• advise clients on corporate governance and business matters
• draft and negotiate partnership, joint venture, and LLC operating agreements
• coordinate transaction workstreams and closings
• assist with representation and warranty insurance underwriting matters.
