The Capital Markets & Public Companies Associate Attorney role is hybrid, with listed office locations in Silicon Valley, San Francisco, and Santa Monica, CA; Boston, MA; Seattle, WA; New York, NY; and Washington, D.C. Base salary is $310,000–$390,000 annually, with a discretionary bonus opportunity. The role connects attorneys with a premier capital markets and public companies practice serving technology and life sciences companies, investment banks, and public companies. The associate advises clients on securities compliance, governance, disclosure, and capital markets transactions. The work includes drafting and reviewing filings and supporting offerings while collaborating with company leadership, boards, underwriters, and in-house legal teams.

What you'll do

• Advise public companies on SEC reporting and compliance
• counsel on corporate governance, disclosure, and stock exchange compliance
• represent issuers and investment banks in capital markets transactions
• support IPOs, SPAC transactions, direct listings, follow-on offerings, and other securities offerings
• draft and review registration statements, periodic reports, proxy statements, and other filings
• collaborate with management, boards, underwriters, and in-house legal teams.
